这两个短语动词要加以区别： take note of 作“记下”或考虑”讲（参见词条 P.710 ），而 take notice of 则是”予以注意”的意思，多半用于否定和疑问两种结构。
例如：
Your remarks have been taken carefully note of, and I hope soon to give a detailed reply to each of them. 你的每句

Don't take any notice of your friends' criticism or advice. 用不着把你朋友们的批评和规劝都放在心上。
